USER LICENSE & SUPPLY AGREEMENT

This is a legal agreement (“Agreement”) between you (“Licensee” or “you”) and Ultra Display Ads Signage Ltd.

Definitions and Interpretation

• Ultra Display Ads Solution: A purchase of digital content under an Ultra Display Ads License.

• Once we accept your order, the Ultra Display Ads Solution will be made available for download. You have no right to change your mind or obtain a refund after downloading unless the solution is faulty or misdescribed.

• Ultra Display Ads Cloud: An ongoing service or subscription under a specific plan.

• When ordering a combination of Goods, Services, Ultra Display Ads Cloud, and Ultra Display Ads Solution, the relevant parts of this agreement apply accordingly.

Please Read These Terms Carefully

• The free forever plan allows use of the Ultra Display Ads Solution for a single device. Data in the CMS may be lost if not converted to a full Ultra Display Ads License. The relevant terms of this Agreement apply during any usage period.

• Customers may cancel their service at any time without penalty. However, all content used within the Ultra Display Ads system is the sole responsibility of the user. Ultra Display Ads does not monitor or endorse the content uploaded, and the system must strictly be used for its intended purposes only.

Acceptable Use Policy: Users must comply with Ultra Display Ads’ acceptable use policy, and the system must not be used for illegal or prohibited activities.

Applicable Laws and Regulations: Compliance with all applicable laws and regulations in using Ultra Display Ads Solution or Ultra Display Ads Cloud is the user’s responsibility.

Commencement Date: The date when services are first supplied, either under a plan or as specified in an order.

Zero Liability Disclaimer

Ultra Display Ads Signage Ltd. holds zero liability for any content displayed, distributed, or shared using its solutions. Users are fully responsible for ensuring their content complies with all relevant laws and regulations. Ultra Display Ads will not entertain any compensation claims related to the use or misuse of the system. All use of the Ultra Display Ads Solution and Ultra Display Ads Cloud is strictly at the user’s own risk.

Data Protection Legislation: Compliance with all applicable data protection and privacy laws.

Distributor: Authorized Ultra Display Ads distributor.

Documentation: Any provided documentation, including online guides, specifications, and knowledge base materials.

End User: The individual or entity using the Ultra Display Ads Solution, Ultra Display Ads Cloud, or Services.

EULA: End User License Agreement required for using Ultra Display Ads products and services.

Expiry Date: The date services under a plan or agreement will no longer be supplied.

Fees: Charges for using Ultra Display Ads License, goods, or services.

Force Majeure: Events beyond reasonable control that may prevent or delay performance of obligations.

Goods: Products ordered and supplied, including any add-ons under a plan.

Intellectual Property Rights (IPRs): Legal rights related to the Ultra Display Ads Solution, including copyright, patents, and trademarks.

My Account: Customer portal for managing account preferences and contact information.

Open Source: Components of the Ultra Display Ads Solution that are available as open source.

Order: Any order incorporating a quotation for the supply of Ultra Display Ads products and services.

Plan: Subscription plan for accessing Ultra Display Ads services, solutions, or goods.

Release: The version of the Ultra Display Ads Solution available to the end user.

Reseller: Authorized Ultra Display Ads reseller.

Services: Services supplied by Ultra Display Ads, including support services.

Specification: Details about the Ultra Display Ads Solution, Ultra Display Ads Cloud, or goods.

Statement of Work: Description or specification for services provided by Ultra Display Ads.

Support Services: Standard support services provided by Ultra Display Ads.

Term: Duration during which Ultra Display Ads provides services under an agreement.

Ultra Display Ads Cloud: Cloud-hosted version of the Ultra Display Ads Solution.

Ultra Display Ads Player: Proprietary version of the player for platforms like Android, webOS, and Tizen.

Ultra Display Ads Solution: Digital signage solution comprising Ultra Display Ads components.

Grant and Scope of License

• By agreeing to the terms of this agreement, Ultra Display Ads grants you a personal license to use the Ultra Display Ads Solution and Ultra Display Ads Cloud, under the conditions set forth.

Use Under an Ultra Display Ads License

• Usage is restricted to ensure compliance with acceptable use policies and other limitations outlined in this agreement.

Supply of Services and Goods

• This agreement outlines the terms for the supply of services and goods by Ultra Display Ads. Orders constitute offers to purchase services and goods, which are confirmed by Ultra Display Ads in writing.

Payment and Charges

• Fees must be paid in advance unless otherwise agreed upon. The customer is responsible for all applicable taxes, duties, and charges.

Intellectual Property Rights

• No transfer of ownership or intellectual property rights is implied. Ultra Display Ads retains ownership of all IP related to its solutions and services.

Liability and Warranty

• Ultra Display Ads provides warranties as described in this agreement, but liability is limited to the value of the license or services provided.

Termination

• Both parties have rights to terminate the agreement under specific conditions.

Governing Law

• This agreement is governed by the laws of England and Wales.
